GENERAL TERMS AND CONDITIONS OF SALE
- Scope and Applicability
These General Terms and Conditions of Sale (“Terms”) apply to all sales agreements between ALPS SOUTH EUROPE S.R.O. (“Seller”) and its customers (“Buyer”), unless otherwise agreed in writing. By placing an order, the Buyer acknowledges and agrees to these Terms.
- Orders and Acceptance
2.1. All orders are subject to the Seller’s acceptance. An order is considered accepted only when the Seller provides written Sales Order confirmation.
2.2. Any modifications or cancellations of confirmed orders must be approved in writing by the Seller and may be subject to additional charges.
2.3. Once the Seller confirms the order, it is understood that the order is fully accepted, including all terms and conditions.
- Prices and Payment Terms
3.1. The prices agreed in the purchase order are fixed and non-negotiable.
3.2. Payment terms are indicated in the order confirmation and invoice.
3.3. The Seller reserves the right to modify product price list at any time without prior notice.
3.4. All prices are exclusive of VAT and are based on EX-WORKS (Incoterms 2020) terms.
- Delivery and Pickup Terms
4.1. Delivery dates communicated by the Seller are estimates and not binding.
4.2. The Buyer is responsible for any import duties, taxes, and customs clearance.
4.3. Stock Fee for Late Pickup:If the Buyer fails to pick up the goods within 10 days from the communicated pickup date, a storage fee of 2% of the order value per day will be applied. After 30 days of delay, the Seller reserves the right to dispose of the goods.
- Warranty
5.1. The warranties for each product are specified in the instruction accompanying the product.
5.2. Single-Patient Use: ALPS products are intended for use by a single patient only.
- Returns and Claims
6.1. No returns will be accepted without prior written authorization from the Seller.
6.2. The Buyer must notify the Seller of any non-conformities or damages of the order within 5 days of receipt of the goods.
- Force Majeure
7.1. The Seller is not liable for delays or failure to perform due to events beyond its control, including but not limited to natural disasters, strikes, transportation delays, or government restrictions.
- Governing Law and Jurisdiction
8.1. These Terms shall be governed by the laws of Czech Republic.
8.2. Any disputes shall be resolved in the courts of Plzen.
